A runner spends years preparing for their defining moment of high performance. To succeed, they follow a strict training regimen, meet rigorous performance milestones, and – most importantly – start early. Without thorough preparation in every aspect, the risk of failure on race day is high.
The same principle applies in business. At this time of year, companies must begin preparing for their Annual General Meeting (the AGM) to ensure it takes place no later than June 30. In addition to finalising financial statements, conducting audits, and completing all necessary paperwork, a critical requirement in Switzerland is the re-election of the Board of Directors.
Key Legal Deadline
Under Art. 699 para. 2 of the Swiss Code of Obligations, the ordinary AGM must be held within six months of the end of the financial year. For companies with a 31 December year-end, this means no later than 30 June.
If the board re-election deadline is missed, the board’s term automatically expires – unless the company’s articles of association provide otherwise – potentially leaving the company without a governing body and unable to convene an AGM, putting its operations at serious risk.
